1. Acceptance of Terms
These Terms & Conditions (“Terms”) govern your access to and use of the CloudLR mobile application and website (together, the “Service”). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
2. Description of Service
CloudLR is a mobile-first platform that enables transporters and logistics businesses to create, manage, print, and share digital Lorry Receipts (LR) and related records including customers, drivers, addresses, vehicles, materials, and invoicing details.
3. Eligibility and Accounts
You must be at least 18 years old and legally able to enter into a binding contract to use the Service. You are responsible for the accuracy of the information you provide during registration and for keeping your account credentials secure. You are responsible for all activity that occurs under your account.
4. Acceptable Use
You agree not to:
- Use the Service to violate any applicable law or regulation.
- Upload or transmit any unlawful, misleading, or infringing content.
- Interfere with, disrupt, or attempt to gain unauthorized access to the Service.
- Reverse engineer, decompile, or copy any part of the Service except as permitted by law.
- Use the Service to send unsolicited communications or to impersonate any person or entity.
5. User Content and Operational Data
You retain ownership of the data you enter into the Service, including LR details, customer and consignee information, GST, PAN, invoice values, E-Way Bill numbers, vehicle and driver details, and other operational records (“Your Content”).
You are solely responsible for the accuracy, legality, and completeness of Your Content. You confirm that you have the right to enter this information and to share it with the parties you designate. CloudLR is a document management tool and does not verify the underlying facts of any consignment.
You grant CloudLR a limited license to host, process, and display Your Content solely to operate the Service for you.
6. Intellectual Property
The Service, including its software, design, brand assets, and content (other than Your Content), is owned by CloudLR and its licensors and is protected by intellectual property laws. Except for the limited rights expressly granted to you, no rights are transferred.
7. Subscription and Access
CloudLR may offer the Service on a free, trial, or paid basis. Pricing, plan features, and billing terms will be presented at the time of purchase. We may change plans or pricing with reasonable notice. Failure to pay applicable fees may result in suspension or termination of access.
8. Disclaimers
The Service is provided on an “as is” and “as available” basis without warranties of any kind, whether express or implied. CloudLR does not warrant that the Service will be uninterrupted, error-free, or fit for any specific purpose.
CloudLR is a document management tool and is not a substitute for legal, tax, or compliance advice. You remain solely responsible for meeting all statutory transport, GST, and other regulatory obligations that apply to your business.
9. Limitation of Liability
To the maximum extent permitted by law, CloudLR and its affiliates, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill arising out of or related to your use of the Service. Our total aggregate liability for any claim relating to the Service shall not exceed the amount you paid to CloudLR in the twelve months preceding the event giving rise to the claim, or INR 10,000, whichever is greater.
10. Indemnification
You agree to indemnify and hold CloudLR harmless from any claims, damages, losses, or expenses (including reasonable legal fees) arising out of your use of the Service, your breach of these Terms, or your violation of any law or the rights of a third party.
11. Suspension and Termination
We may suspend or terminate your access to the Service at any time if you breach these Terms, if required by law, or to protect the Service or its users. You may stop using the Service at any time. Upon termination, provisions that by their nature should survive will remain in effect.
12. Governing Law
These Terms are governed by the laws of India. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts at [City], India.
